1. Acceptance of these terms
These Terms of Service form a binding agreement between you and Sebastian Di Poi Enterprises Inc. By browsing this website, submitting an enquiry, accepting a proposal or instructing the studio to prepare a drawing set, you confirm that you have read these terms and that you agree to be bound by them. If you do not agree, do not use the website and do not submit project material to the studio.
Where you act on behalf of a company, a partnership, a public body or another organisation, you confirm that you have the authority to accept these terms on that organisation behalf. If you do not hold that authority, you must not accept a proposal or issue an instruction.
These terms apply together with any written proposal, fee schedule or project agreement that the company issues for a specific commission. Where a signed project agreement conflicts with these terms, the signed agreement governs for that commission and these terms apply to everything else.
2. Definitions
In these terms, the company means Sebastian Di Poi Enterprises Inc., operating from 511 Lacolle Way, Ottawa - K4A 5B6, Canada (CA). The website means the pages served at sebastiandipoi.buzz. The client means the person or organisation that commissions drafting work or that accepts a proposal. Deliverables means the plans, drawings, schedules, diagrams, sketches and reports that the company issues for a commission. Project material means the plans, surveys, photographs, equipment data, correspondence and other information that the client provides or that is provided on the client behalf.
A drawing set means one or more deliverables issued together under a single sheet index and a single revision letter. An engagement means the period between the acceptance of a proposal and the closeout of the work, including any correction or revision issued under the same commission.
Headings in these terms are for convenience only and do not affect the meaning of the clauses that follow them.
3. Permitted use of the website
The company grants you a limited, revocable, non-exclusive licence to view the pages of the website and to print or save a copy of a page for your own reference or for internal review within your organisation. This licence does not permit you to republish the content, to resell it, to include it in a commercial directory or to present it as your own work.
You may link to the homepage or to an inner page of the website from a professional context so long as the link is honest and does not suggest an endorsement that does not exist. You may not frame the website inside another site in a way that obscures the source of the content.
The website is provided as an informational and commercial introduction to the drafting practice. It is not a substitute for a signed project agreement, for technical advice about a particular building or for a formal opinion on code compliance.
4. Eligibility and authority
The website and the drafting services are intended for professional and commercial use. By submitting project material you confirm that you are at least the age of majority in your jurisdiction and that you are legally able to enter into a contract.
If you provide project material that belongs to a client, an employer or another party, you confirm that you have permission to share it with the studio for the purpose of obtaining a drawing service. You agree to hold the company harmless if a third party claims that the material was shared without authority, to the extent that the claim arises from your representation.
5. Scope of services
The company provides computer integrated systems design and related technical drafting services. The current service list includes site plan drafting, renovation layout sets, permit drawing packages, as-built corrections, riser diagram runs and punch list sketches. Each service is described on the services page of this website, and a proposal for a commission sets out the specific sheets and the specific effort included in that commission.
Unless a proposal expressly states otherwise, the scope of a commission is limited to the deliverables named in that proposal. Site survey visits, structural design, mechanical design, electrical engineering seals, fire protection design, code consulting beyond drawing coordination, construction supervision and project management are not included in a drafting commission.
Where a service requires a professional seal, certification or signature that the company does not hold for the relevant jurisdiction, the client is responsible for engaging the appropriate professional. The company will identify the requirement as early as possible so that the engagement does not stall at the permitting stage.
6. Engagements and proposals
An engagement begins when the client accepts a written proposal from the company and, where the proposal requires it, pays a deposit. A telephone conversation, an email enquiry or an indication of interest does not create an engagement and does not reserve drawing time at the table.
Proposals are valid for thirty days from the date of issue unless the proposal states a different period. The company may withdraw a proposal before it is accepted if the project circumstances have changed or if the necessary information has not been provided.
Acceptance may be given in writing by email. The company will acknowledge acceptance and confirm the anticipated issue date. Where the acceptance is conditional on a change to scope or fee, the company will issue a revised proposal and the engagement will begin when the revised proposal is accepted.
7. Client obligations
A drawing set is only as good as the information behind it. The client agrees to provide accurate and complete project material, to identify the person who is authorised to give instructions, and to respond to questions within a reasonable period so that the work can proceed.
The client is responsible for obtaining any consent needed to allow a site visit, for arranging access to plant rooms and restricted areas, and for informing building occupants of the visit where that is required. The client is also responsible for obtaining permission to share third party drawings that remain under another consultant copyright.
Where the client becomes aware that information already provided is wrong or incomplete, the client must inform the company promptly. A late correction may require a revision and may affect the fee or the issue date, and the company will explain the effect before proceeding.
- Provide the survey, existing drawings and equipment data that the commission requires.
- Name a single point of contact who can approve layouts and answer technical questions.
- Review draft sheets within the period stated in the proposal.
- Notify the company of any change to the building or the scope before issue.
8. Fees and payment
Fees are set out in the proposal and may be based on a fixed price, a fee per sheet or an hourly rate. The proposal states which basis applies and whether expenses such as travel for a site visit or printing of a large format set are included.
Unless the proposal states otherwise, invoices are payable within thirty days of the invoice date. A deposit may be required before the drawing table is booked, and the balance may be invoiced at issue of the deliverables or in stages for a longer commission.
Overdue amounts may attract interest at the rate stated in the proposal or, where no rate is stated, at a reasonable commercial rate permitted by law. The company may suspend work on an overdue account after giving written notice, and may withhold issue of a final deliverable until outstanding amounts are paid, subject to any mandatory legal protection that applies to the client.
Fees are exclusive of applicable taxes, which are added where required. The client is responsible for any bank charge or transfer fee retained by the client bank.
9. Changes and revisions
Every engagement includes a reasonable number of review comments at the draft stage. The number is stated in the proposal. Where the client requests changes after a sheet has been issued, the changes are handled as a revision, and a revision may be charged at the rate stated in the proposal.
A change that alters the scope of the commission, such as adding a floor to a layout set or adding a new system to a riser diagram, requires a written change instruction and a revised fee. The company will not begin a scope change until the instruction is confirmed.
Changes requested after the issue of a permit package may require a resubmission to the authority. The client is responsible for any resubmission fee charged by the authority, and the company will prepare the revised package as a new revision with a clear record of what changed.
10. Deliverables and issue
Deliverables are issued in a portable document format for review and in a layered digital format for the project record. The company marks each sheet with a project number, a sheet number, a revision letter, a date and the drafter initials. A sheet without an issue mark is a draft and must not be used for construction.
Issue is complete when the company sends the final set to the client point of contact by the agreed channel and records the issue in the project log. Where a deliverable is required in large format printing, the printing arrangement is stated in the proposal.
The company keeps an archive copy of every issued set. The archive allows a later correction to be tied to the original issue and allows the client to request a replacement file if a copy is lost. The archive is not a public record and is not released to a third party without the client permission or a legal requirement.
11. Licence and ownership
When the client has paid the agreed fee for a commission, the company grants the client a perpetual, non-exclusive licence to use the deliverables for the building and the purpose described in the proposal, including construction, permitting and building operation. The licence includes the right to share the deliverables with contractors, consultants and authorities who need them for that purpose.
The company retains copyright in the drawings, the drawing method, the templates and the notation system used to produce them. The client may not sell the deliverables as a standalone product, may not reuse them for a different building without a new commission, and may not remove the title block or the revision history.
Project material supplied by the client remains the property of the client or of the party that owns it. The client grants the company a licence to use that material to the extent needed to produce the deliverables, to keep the project record and to defend the work if a question is raised later.
12. Professional limits and reliance
The deliverables are drafting and coordination documents prepared for the purpose stated in the proposal. They are prepared with professional care, but they are not a warranty that a building will perform in a particular way, that an authority will grant a permit or that a contractor will install a system without error.
The client acknowledges that conditions on a site can change between a survey and an installation, that concealed conditions may be discovered after issue, and that equipment availability may require a substitution. Where a substitution affects a drawing, the client must notify the company so that the record can be corrected.
A party who relies on a deliverable for a purpose other than the purpose stated in the proposal does so at that party own risk. The company is not responsible for a use of a drawing that was not within the commission.
13. Third party data and equipment
Much of the information used in a drawing set comes from other parties, including surveys, architectural drawings, manufacturer cut sheets and service records. The company relies on that information in good faith and will flag any inconsistency it notices, but it does not verify every dimension or every specification provided by a third party.
Equipment cut sheets are used to draft a device position and a connection. The company does not warrant that a manufacturer will continue to supply a product, that a firmware feature will remain available or that a device will meet a performance target in a specific environment. The commissioning party remains responsible for confirming performance after installation.
Where a third party drawing is incorporated into a deliverable, the copyright of that drawing remains with its owner. The company will acknowledge the source in a drawing note where the source is known and where the client has permission to use the material.
14. Confidentiality
The company treats project material and client correspondence as confidential. Information is shared inside the studio only with the people who need it for the commission, and it is shared outside the studio only where that is needed to deliver the work, to comply with the law or with the client permission.
The client agrees to treat a proposal, a fee schedule and any working file that the company shares as confidential, and not to disclose commercial terms to a competitor of the company without permission.
Confidentiality obligations do not apply to information that is already public, that the receiving party already held without a duty of confidence, that is independently developed without use of the confidential information, or that a law requires a party to disclose. Where a legal disclosure is required, the party subject to it will give notice to the other party where that is lawful and practical.
15. Intellectual property of the website
The text, layout, drawing devices, stylesheets and scripts of this website are the property of Sebastian Di Poi Enterprises Inc. and are protected by copyright and other intellectual property laws. You may not copy a substantial part of the website into another publication, a template library or a competing service.
The company name, the badge device and the visual identity of the drafting table are marks of the practice. They may not be used in a way that misleads a reader about the source of a service or a document.
If you believe that material on this website infringes a right you hold, send a written notice to projects@sebastiandipoi.buzz with enough detail to identify the material and the right. The company will review the notice and respond in good faith.
16. Prohibited conduct
You agree not to misuse the website. Prohibited conduct includes attempting to gain unauthorised access to the server or to a stored file, submitting malicious code through a form, using automated tools to scrape the site at a volume that degrades service for others, and impersonating another person or organisation in a communication with the studio.
You also agree not to use the contact form or the studio email address to send unsolicited commercial advertising, chain messages or material that is unlawful, defamatory or abusive. Enquiries that appear to be automated bulk messages may be discarded without reply.
Where a prohibited act causes loss or disruption, the company may suspend access, report the matter to the relevant service provider and, where appropriate, refer the matter to law enforcement.
17. Website availability
The company aims to keep the website available and accurate, but it does not guarantee uninterrupted access. Maintenance, hosting incidents, network faults and security measures may cause a page to be unavailable for a period.
Content is reviewed from time to time and may be updated without notice. A service description on the website is a summary and does not replace the scope set out in a proposal. If the website and a proposal differ, the proposal governs the engagement.
The company may change, suspend or withdraw any part of the website at any time. Where a change removes a page that a client relies on for a live project, the company will make the relevant document available directly.
18. Disclaimers
To the fullest extent permitted by law, the website is provided on an as available basis and without warranties of any kind, whether express or implied. The company does not warrant that the website will be free of errors, that a defect will be corrected, or that the site will meet a particular expectation of speed or compatibility.
The information on the website is general in nature. It is not technical advice for a specific building, it is not a permit, and it is not a substitute for a site-specific assessment by a qualified professional. A reader who acts on general information without a commission does so at that reader own risk.
Nothing in these terms excludes a warranty or a condition that cannot be excluded under applicable consumer protection law. Where such a law applies, the company liability is limited only to the extent that the law permits.
19. Limitation of liability
To the fullest extent permitted by law, the company is not liable for indirect, incidental, special, consequential or punitive damages, including loss of profit, loss of opportunity, loss of use of a building and business interruption, arising out of or in connection with these terms, the website or a commission.
The total aggregate liability of the company for a commission is limited to the fee paid by the client for that commission. Where the law does not permit a fee-based cap, the liability is limited to the smallest amount that the law allows.
The limitation does not apply to fraud, wilful misconduct or any other liability that cannot be limited by law. It also does not limit a client right to a remedy that a mandatory statute provides.
A claim must be brought within the period stated by the applicable limitation statute. If no statutory period applies, a claim must be brought within two years of the date on which the claimant knew or ought to have known of the facts giving rise to the claim.
20. Indemnity
The client agrees to indemnify and hold harmless Sebastian Di Poi Enterprises Inc., its principal and its representatives against any claim, loss, cost or expense arising from project material supplied without authority, from a use of a deliverable outside the scope of the commission, or from a breach of these terms by the client.
The company agrees to indemnify the client against a third party claim that a deliverable, created by the company and used within the scope of the commission, infringes a copyright held by that third party. This indemnity does not apply where the infringement arises from material supplied by the client or from a modification made by another party.
A party seeking indemnity must give prompt notice of the claim, must allow the other party to participate in the defence, and must not settle the claim in a way that admits fault without the other party consent.
21. Suspension and termination
Either party may terminate an engagement by written notice. Where the client terminates, the client pays for the work completed up to the date of termination and for any non-cancellable commitment already made for the commission. Where the company terminates without cause, it refunds any fee paid for work that has not been performed.
The company may terminate immediately where the client fails to pay an overdue invoice after notice, where the client asks the company to act unlawfully or deceptively, or where the conduct of the client makes it unsafe or impractical to continue.
On termination, the company provides the client with the drafts and issued sheets produced up to that point, subject to payment for completed work. Clauses on confidentiality, ownership, liability and governing law survive termination.
22. Force majeure
Neither party is liable for a delay or a failure to perform caused by an event outside its reasonable control. Such events include a natural disaster, a severe weather event, a utility outage, a network failure, a labour disruption, a public health emergency, an act of government and a failure of a third party service that could not reasonably be avoided.
The affected party will notify the other party as soon as practicable, will describe the event and the expected effect, and will use reasonable efforts to resume performance. If the event continues for more than sixty days, either party may terminate the affected engagement by written notice without further liability beyond payment for work completed.
23. Governing law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the courts located in Ottawa, Ontario, for a dispute that cannot be resolved by discussion.
Before starting a proceeding, the parties agree to attempt to resolve the matter in good faith. A written notice of dispute should describe the issue, the remedy sought and the facts relied on. The parties will meet or exchange written positions within twenty business days of the notice.
Either party may seek urgent injunctive relief from a court where a delay would cause irreparable harm. Nothing in this clause prevents a party from using a small claims process where the amount in dispute is within the limit of that process.
24. General provisions
These terms, together with a signed proposal for a commission, form the entire agreement between the parties on the subject matter and replace any earlier discussion or representation. A statement made in a preliminary conversation does not form part of the agreement unless it is repeated in the proposal.
If a clause is found to be invalid or unenforceable, the remaining clauses continue in force and the invalid clause is read down to the minimum extent needed to make it enforceable. A failure to enforce a right on one occasion is not a waiver of that right on a later occasion.
Neither party may assign the agreement without the written consent of the other party, except where the company assigns it to a successor in a reorganisation of the practice. The agreement does not create a partnership, a joint venture or an employment relationship.
A notice under these terms must be in writing and sent by email to the address given by the other party, with a copy by post where the notice concerns termination or a dispute. A notice is treated as received on the next business day after it is sent by email.
The company may update these terms from time to time. A revised version applies to a new engagement from the date it is published. An engagement already in progress is governed by the version in force when the proposal was accepted, unless the parties agree otherwise in writing.
25. Contact information
Questions about these terms, a proposal or a live commission can be sent to the studio at the address below. The studio answers its own correspondence during normal business hours and will reply to a written question as soon as the drawing table allows.
